1. Introduction

Welcome to Dormy, the online marketplace for the residential rental ecosystem, owned and operated by Krelio Technologies Inc. (“Krelio,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Dormy app and web platforms, as well as any related services and features (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. Please read them carefully. If you do not agree with any part of these Terms, please do not use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. By using Dormy, you represent and warrant that you meet these eligibility requirements. If you are accessing or using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.

3. Account Registration

To access certain features of Dormy, you may be required to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account, please notify us immediately.

4. Features and Use of the Services

4.1 For Tenants: Dormy provides a platform for tenants to search and compare available properties with detailed information, securely make online payments, digitally sign lease agreements, find and match with roommates, schedule ocular visits to properties, reserve and book rentals, and access ratings and reviews of landlords and properties. As a tenant, you agree to use the Services responsibly and in compliance with all applicable laws and regulations.

4.2 For Landlords: Dormy offers landlords a platform to manage inquiries through an omnichannel and AI-assisted chat, conduct tenant screening and verification, automate rent collection, integrate with property management software through APIs, and market their properties. Landlords using the Services agree to comply with all applicable rental laws, accurately represent their properties, and conduct tenant screening in accordance with relevant privacy laws.

4.3 For Local Businesses: Local businesses partnering with Dormy can target advertisements to potential tenants, offer special partnerships and deals to attract new customers, integrate payment systems for seamless transactions, and enable online booking of services and products. Local businesses agree to abide by all relevant laws and regulations in their use of the Services and partnerships with Dormy.

5. Content and Intellectual Property

5.1 User-Generated Content: As a user of the Services, you may have the opportunity to submit, post, or share content, including but not limited to property listings, reviews, messages, and advertisements (collectively, “User Content”). You retain all ownership rights to your User Content. By submitting User Content, you grant Krelio a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and sublicense such User Content in connection with the operation and promotion of the Services.

5.2 Intellectual Property: The trademarks, logos, and content displayed on the Services are the property of Krelio Technologies Inc. and its licensors. You are granted a limited, non-exclusive, and non-transferable license to access and use the Services solely for personal and non-commercial purposes. You must not modify, reproduce, distribute, or create derivative works based on the Services' content without prior written consent from Krelio.

6. Data Use and Privacy

6.1 Data Collection and Use: Dormy collects and processes personal information in accordance with its Privacy Policy, which can be found on our platforms. By using Dormy, you consent to the collection, use, and sharing of your personal information as described in the Privacy Policy.

6.2 Cookies: Dormy uses cookies and similar tracking technologies to enhance your user experience and improve our services. By using our platforms, you consent to the use of cookies in accordance with our Cookie Policy.

7. Third-Party Services

Dormy may integrate third-party services or link to third-party websites for your convenience. Krelio does not endorse or assume responsibility for the content, privacy policies, or practices of these third parties. Your interactions with these third parties are solely between you and them, and any terms, conditions, warranties, or representations associated with such interactions are solely the responsibility of the third parties.

8. Disclaimer of Warranties

The Services are provided on an “as-is” and “as available” basis. Krelio makes no warranties or representations of any kind, express or implied, regarding the accuracy, completeness, reliability, or availability of the Services. Krelio disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Your use of the Services is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Krelio and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in connection with your use of the Services or these Terms. In no event shall Krelio's total liability to you for all claims arising out of or in connection with the Services exceed the amount paid by you, if any, for accessing and using the Services during the six (6) months preceding the date of the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Krelio Technologies Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Krelio reserves the right to suspend or terminate your access to the Services at any time, for any reason, without prior notice or liability. Upon termination, your right to use the Services will cease immediately.

12. Modification of Terms

Krelio reserves the right to modify or update these Terms at any time without prior notice. The effective date of the updated Terms will be indicated at the beginning of the document. Your continued use of the Services after the posting of changes constitutes your acceptance of the modified Terms.

13. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflicts of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Metro Manila, Philippines.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Krelio Technologies Inc. regarding the subject matter herein and supersede all prior or contemporaneous agreements, communications, and understandings, whether oral or written.
